19 OPEN SOURCE LICENSE

21You are about to download certain software that is subject to various
22open source licenses such as the Apache License, the BSD license, the
23Free Software Foundation General Public License and Lesser General
24Public License, the Mozilla Public License and others. The particular
25files are listed in a file in the distribution, which will typically
26be called "package_manifest.txt" ("Manifest"). In the case of a
27discrepancy between the Manifest and the files in the distribution,
28the files in the distribution will supersede this list. The files that
29are subject to open source licenses will have the licensing details
30contained in those files. If you do not accept the terms of any of
31those licenses, stop using those files immediately.

33 FREESCALE SOFTWARE LICENSE AGREEMENT

35This is a legal agreement between you (either as an individual or as
36an authorized representative of your employer) and Freescale
37Semiconductor, Inc. ("Freescale"). It concerns your rights to use
38these files and any accompanying written materials (the "Software" and
39the "Codec Software" (as defined below). Except where specifically
40indicated in the License Grant below, Software will include Codec
41Software including third party software as more fully described below
42and identified on Attachment A; and software created or licensed to
43Freescale. This Agreement does not concern your use of any files that
44are subject to an "open source" software license, such as the Free
45Software Foundation "General Public License," or "GNU GPL." In
46consideration for Freescale allowing you to access the Software, you
47are agreeing to be bound by the terms of this Agreement. If you do not
48agree to all of the terms of this Agreement, do not download the
49Software. If you change your mind later, stop using the Software and
50delete all copies of the Software in your possession or control. Any
51copies of the Software that you have already distributed, where
52permitted, and do not destroy will continue to be governed by this
53Agreement. Your prior use will also continue to be governed by this
54Agreement.

56LICENSE GRANT. Exclusively in conjunction with your development and
57sale of a product containing an i.MX or STMP programmable processing
58unit (e.g. a microprocessor, microcontroller) supplied directly or
59indirectly from Freescale ("Freescale System"), Freescale grants to
60you, free of charge, the non-exclusive, non-transferable right (1) to
61use the Software, (2) to reproduce the Software, (3) distribute the
62Software, (4) to sublicense to others the right to use the distributed
63Software as included within the Freescale System and, to the extent
64the Software is provided in source code form (human readable), (5) to
65prepare derivative works of the Software, (6) to distribute derivative
66works thereof only in object (machine-readable) form as part of a
67Freescale System, and (7) to sublicense to others the right to use the
68distributed derivative works as included within the Freescale System.
69Exclusively in conjunction with your development and sale of a product
70containing a Freescale System, Freescale grants to you, free of
71charge, the non-exclusive, non-transferable right to use the Codec
72Software evaluation and demonstration purposes only. Codec Software
73is software designed for processing multimedia streams (audio and
74video). You agree that you are responsible for obtaining any
75necessary licenses or permission for all Essential Patents for Codec
76Software. "Essential Patent" means a patent to the limited extent that
77infringement of such patent cannot be avoided in remaining compliant
78with the technology standards implicated by the usage of any of the
79Codec Software, including optional implementation of such standards,
80on technical but not commercial grounds, taking into account normal
81technical practice and the state of the art generally available at the
82time of standardization. You may not translate, reverse engineer,
83decompile, or disassemble the Software except to the extent applicable
84law specifically prohibits such restriction. You will not assert
85against Freescale any intellectual property right that you create in
86preparation of any derivative works of the Software. If you violate
87any of the terms or restrictions of this Agreement, Freescale may
88immediately terminate this Agreement, and require that you stop using
89and delete all copies of the Software in your possession or control.

91COPYRIGHT. The Software is licensed to you, not sold. Freescale or
92its licensor owns the Software, and United States copyright laws and
93international treaty provisions protect the Software. Therefore, you
94must treat the Software like any other copyrighted material (e.g. a
95book or musical recording). You may not use or copy the Software for
96any other purpose than what is described in this Agreement. Except as
97expressly provided herein, Freescale does not grant to you any express
98or implied rights under any Freescale or third party patents,
99copyrights, trademarks, or trade secrets. Additionally, you must
100reproduce and apply any copyright or other proprietary rights notices
101included on or embedded in the Software to any copies or derivative
102works made thereof, in whole or in part, if any.

104SUPPORT. Freescale is NOT obligated to provide any support, upgrades
105or new releases of the Software. If you wish, you may contact
106Freescale and report problems and provide suggestions regarding the
107Software. Freescale has no obligation whatsoever to respond in any way
108to such a problem report or suggestion. Freescale may make changes to
109the Software at any time, without any obligation to notify or provide
110updated versions of the Software to you.

112EXCLUDED LICENSES. You will not take or fail to take any action that
113could subject the Software to an Excluded License. An Excluded
114License means any license that requires as a condition of use,
115modification and/or distribution of software subject to the Excluded
116License, that such software or other software combined and/or
117distributed with such software be (A) disclosed or distributed in
118source code form; (B) licensed for the purpose of making derivative
119works; or (C) redistributable at no charge.

121FEEDBACK. You grant to Freescale a non-exclusive, non-transferable,
122irrevocable, perpetual, worldwide, royalty-free, sub-licensable
123license under your Intellectual Property Rights to use without
124restriction and for any purpose any suggestion, comment or other
125feedback related to the Licensed Software (including, but not limited
126to, error corrections and bug fixes).

128NO WARRANTY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREESCALE
129EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE SOFTWARE. THE SOFTWARE IS
130PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR
131IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF
132MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR
133NON-INFRINGEMENT. YOU ASSUME THE ENTIRE RISK ARISING OUT OF THE USE OR
134PERFORMANCE OF THE SOFTWARE, OR ANY SYSTEMS YOU DESIGN USING THE
135SOFTWARE (IF ANY). NOTHING IN THIS AGREEMENT MAY BE CONSTRUED AS A
136WARRANTY OR REPRESENTATION BY FREESCALE THAT THE SOFTWARE OR ANY
137DERIVATIVE WORK DEVELOPED WITH OR INCORPORATING THE SOFTWARE WILL BE
138FREE FROM INFRINGEMENT OF THE INTELLECTUAL PROPERTY RIGHTS OF THIRD
139PARTIES.

141INDEMNITY. You agree to fully defend and indemnify Freescale from any
142and all claims, liabilities, and costs (including reasonable
143attorney's fees) related to (1) your use (including your sublicensee's
144use, if permitted) of the Software or (2) your violation of the terms
145and conditions of this Agreement.

147LIMITATION OF LIABILITY. IN NO EVENT WILL FREESCALE BE LIABLE,
148WHETHER IN CONTRACT, TORT, OR OTHERWISE, FOR ANY INCIDENTAL, SPECIAL,
149INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING, BUT NOT
150LIMITED TO, DAMAGES FOR ANY LOSS OF USE, LOSS OF TIME, INCONVENIENCE,
151COMMERCIAL LOSS, OR LOST PROFITS, SAVINGS, OR REVENUES TO THE FULL
152EXTENT SUCH MAY BE DISCLAIMED BY LAW. FREESCALE'S TOTAL LIABILITY FOR
153ANY AND ALL COSTS, DAMAGES, CLAIMS, OR LOSSES WHATSOEVER ARISING OUT
154OF OR IN CONNECTION WITH THIS AGREEMENT OR PRODUCT(S) SUPPLIED UNDER
155THIS AGREEMENT IS LIMITED TO THE AGGREGATE AMOUNT PAID BY LICENSEE TO
156FREESCALE IN CONNECTION WITH THE LICENSED SOFTWARE TO WHICH LOSSES OR
157DAMAGES ARE CLAIMED.

159COMPLIANCE WITH LAWS; EXPORT RESTRICTIONS. You must use the Software
160in accordance with all applicable export laws, regulations and
161statutes. You agree that neither you nor your licensees (if any)
162intend to or will, directly or indirectly, export or transmit the
163Software to any country in violation of. any export restrictions.

165GOVERNMENT USE. Use of the Software and any corresponding
166documentation, if any, is provided with RESTRICTED RIGHTS. Use,
167duplication or disclosure by the Government is subject to restrictions
168as set forth in subparagraph (c)(1)(ii) of The Rights in Technical
169Data and Computer Software clause at DFARS 252.227-7013 or
170subparagraphs (c)(l) and (2) of the Commercial Computer
171Software--Restricted Rights at 48 CFR 52.227-19, as
172applicable. Manufacturer is Freescale Semiconductor, Inc., 6501
173William Cannon Drive West, Austin, TX, 78735.

175HIGH RISK ACTIVITIES. You acknowledge that the Software is not fault
176tolerant and is not designed, manufactured or intended by Freescale
177for incorporation into products intended for use or resale in on-line
178control equipment in hazardous, dangerous to life or potentially
179life-threatening environments requiring fail-safe performance, such as
180in the operation of nuclear facilities, aircraft navigation or
181communication systems, air traffic control, direct life support
182machines or weapons systems, in which the failure of products could
183lead directly to death, personal injury or severe physical or
184environmental damage ("High Risk Activities"). You specifically
185represent and warrant that you will not use the Software or any
186derivative work of the Software for High Risk Activities.

188CHOICE OF LAW; VENUE; LIMITATIONS. You agree that the statutes and
189laws of the United States and the State of Texas, USA, without regard
190to conflicts of laws principles, will apply to all matters relating to
191this Agreement or the Software, and you agree that any litigation will
192be subject to the exclusive jurisdiction of the state or federal
193courts in Texas, USA.

195PRODUCT LABELING. You are not authorized to use any Freescale
196trademarks, brand names, or logos.

198ENTIRE AGREEMENT. This Agreement constitutes the entire agreement
199between you and Freescale regarding the subject matter of this
200Agreement, and supersedes all prior communications, negotiations,
201understandings, agreements or representations, either written or oral,
202if any. This Agreement may only be amended in written form, executed
203by you and Freescale.

205SEVERABILITY. If any provision of this Agreement is held for any
206reason to be invalid or unenforceable, then the remaining provisions
207of this Agreement will be unimpaired and, unless a modification or
208replacement of the invalid or unenforceable provision is further held
209to deprive you or Freescale of a material benefit, in which case the
210Agreement will immediately terminate, the invalid or unenforceable
211provision will be replaced with a provision that is valid and
212enforceable and that comes closest to the intention underlying the
213invalid or unenforceable provision.

215NO WAIVER. The waiver by Freescale of any breach of any provision of
216this Agreement will not operate or be construed as a waiver of any
217other or a subsequent breach of the same or a different provision.

224SanDisk Corporation Software
225The Board Support Package includes software developed by SanDisk
226Corporation ("SanDisk"). You must separately obtain the rights to
227reproduce and distribute this software in source code form from
228SanDisk. Please follow these easy steps to obtain the license and
229software:
2301. Contact your local SanDisk sales representative to obtain the
231SanDisk License Agreement.
2322. Sign the license agreement. Fax the signed agreement to SanDisk
233USA marketing department at 408-542-0403. The license will be valid
234when fully executed by SanDisk.
2353. If you have specific questions, please send an email to
236sales@sandisk.com You may only use the SanDisk Corporation Software on
237products compatible with a SanDisk Secure Digital Card. You may not
238use the SanDisk Corporation Software on any memory device product.
239SanDisk retains all rights to any modifications or derivative works to
240the SanDisk Corporation Software that you may create.

243The Board Support Package includes software and hardware developed by
244Global Locate, Inc. ("Global Locate") and acquired by Broadcom
245Corporation. You must separately obtain rights beyond evaluation and
246demonstration in connection with the Board Support Package from
247Broadcom Corporation.

250The Board Support Package includes software and hardware developed by
251Cambridge Silicon Radio, Inc. ("CSR"). You must separately obtain
252rights beyond evaluation and demonstration in connection with the
253Board Support Package from CSR.

256The Board Support Package includes software or technology developed by
257Coding Technologies, AB ("CTS"). You only have the right to use the
258CTS software in connection with the Freescale System.
